mocopi Logo and Icon License Agreement

This Agreement is entered into between Sony Corporation (including its subsidiaries, hereinafter referred to as the “Licensor”) and any party (hereinafter the “User”) that uses the official logo associated with the application/service “mocopi” (hereinafter the “Logo”) and the official icon image files (hereinafter the “Icon” ) .

1 (Scope of License)

1. The Licensor hereby grants the User a non-exclusive and non-transferable right to use the Logo and the Icon on an “as-is” basis, without modification.

2 (Conditions of Use)

1. The User shall use the Logo and the Icon on an as-is basis without impairing or altering their design, shape, colors, aspect ratio, margins, minimum size, or any other visual elements. With respect to the Logo, the User shall comply with the Licensor’s Logo Guidelines set forth in the Exhibit.
2. If the Licensor issues separate instructions regarding the use of the Logo and the Icon , the User shall follow such instructions.
3. If the User receives a notice from the Licensor, directly or indirectly, instructing the User to discontinue the use of the Logo and the Icon , the User shall promptly comply with such instructions and discontinue use, and shall delete or destroy the Logo and the Icon.

3 (Conditions for Commercial Use)

1. If the User wishes to use the Logo or the Icon for commercial purposes, the User shall comply with the conditions set forth in Article 2, and in addition, fulfill one of the following requirements:

   (a) Clearly indicate, using the Logo or the Icon, on the User’s website, social media platforms, other media, or within applications developed by the User, that the relevant services or content utilize features provided by mocopi.
   (b) Implement other marketing activities agreed upon in advance between the Licensor and the User.

2. If fulfilling the requirement under item (b) above, the User shall provide samples of the media in which the Icon is actually used (including advertising materials and websites), and shall comply with any modification instructions issued by Sony.

4 (Ownership of Rights)

All copyrights, trademark rights, and any and all other intellectual property rights pertaining to the Logo and the Icon shall belong to the Licensor. The User shall not acquire any rights beyond those expressly granted under this Agreement.

5 (Prohibited Acts)

The User shall not engage in any of the following acts in connection with the use of the Logo or the Icon:

1. Modifying, altering, or creating derivative works of the Logo or the Icon, including changes to their design, colors, shapes, or proportions;
2. Associating the Logo or the Icon with any third-party products or services in a manner that may cause misunderstanding or confusion regarding the relationship with mocopi or the Licensor;
3. Using the Logo or the Icon as part of a trademark, logo, or brand identity;
4. Conducting any act that violates laws or public order and morals;
5. Violating the Logo Guidelines set forth in the Exhibit.

6 (No Warranty; Disclaimer)

The Licensor makes no warranties, whether express or implied, regarding the Logo or the Icon, including but not limited to the absence of factual or legal defects (including deficiencies, errors, bugs, infringements of rights, or defects relating to safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, or security). The Licensor shall not be liable for any damages incurred by any third party arising out of or in connection with the Logo or the Icon or the use thereof.

7 (Termination)

If the User breaches any provision of this Agreement, the Licensor may immediately terminate this Agreement without any prior notice or demand. In such event, the User shall immediately cease use of the Logo and the Icon.

8 (Governing Law and Jurisdiction)

This Agreement shall be governed by and construed in accordance with the laws of Japan.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
